Terms of Service

1. Acceptance of Terms

By creating an account, accessing our website, or using the application (together, the "Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of the Service

Pruvelo helps you capture professional work notes, structure them with assistance from artificial intelligence, and generate outputs such as summaries, documents, and prep materials for your personal career use. Features, limits, and availability differ between Free and Pro plans as described on our Pricing page and in the product.

We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.

3. User Accounts

You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at hello@pruvelo.com if you suspect unauthorised access. We may suspend or terminate accounts that violate these Terms, pose a security risk, or abuse the Service.

You must be old enough to form a binding contract in your jurisdiction (and at least the age required by our Privacy Policy for children's data rules).

4. Acceptable Use Policy

You agree not to misuse the Service. Without limitation, you must not: attempt unauthorised access to systems, accounts, or data; interfere with or disrupt the Service or other users; scrape or harvest data you are not authorised to access; upload malware or unlawful content; use the Service to infringe intellectual property or privacy rights; reverse engineer or circumvent security except where applicable law prohibits such a restriction; or use the Service in violation of law.

5. Data and Privacy

Our collection and use of personal data is described in the Privacy Policy, which is incorporated by reference.

6. Intellectual Property

Content you create and store in Pruvelo belongs to you. You grant Pruvelo a worldwide, non-exclusive licence to host, process, transmit, display, and create derivative structuring and outputs from your content solely to operate, secure, and improve the Service (including AI processing as described in our Privacy Policy). You represent that you have the rights needed to grant this licence.

Pruvelo's name, branding, software, documentation, and templates (excluding your content) are owned by Pruvelo or its licensors. Except for the rights expressly granted here, no other rights are transferred.

7. AI-Generated Content

Outputs from AI features are drafting aids and suggestions, not professional career, legal, tax, or financial advice. You are solely responsible for reviewing, editing, and deciding how to use any generated content. Pruvelo is not liable for decisions you make or outcomes you experience based on AI-generated content.

8. Payment, Trials, and Subscriptions

Paid plans are billed through Paddle, which acts as merchant of record. Taxes, invoices, and payment methods are shown at checkout. By subscribing, you authorise Paddle to charge your payment method on a recurring basis according to the plan and billing interval you select, until you cancel.

If a free trial is offered, its length and conversion terms are disclosed at checkout. You may cancel before the trial ends to avoid charges where the checkout flow allows.

We may change Pro pricing or features with reasonable advance notice. If you do not accept a change, you may cancel before it takes effect; continued use after the effective date may constitute acceptance where permitted by law.

9. Cancellation and Refunds

You may cancel your subscription using the controls in your account and any options Paddle provides. You typically retain access through the end of the period you already paid for. Refunds and goodwill adjustments are described in our Refund Policy, which is incorporated by reference. For billing issues, contact hello@pruvelo.com.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except to the extent such disclaimers are prohibited by law.

11. Limitation of Liability

To the fullest extent permitted by law, Pruvelo and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities, arising from or related to your use of the Service, even if advised of the possibility.

Our aggregate liability for claims arising out of or relating to the Service is limited to the greater of (a) the amount you paid Pruvelo for the Service in the twelve months before the claim or (b) one hundred US dollars (USD), except where liability cannot be limited by law (for example, certain consumer claims).

12. General

Governing law. If you are a consumer habitually resident in the European Economic Area, the United Kingdom, or Switzerland, nothing in these Terms limits mandatory protections under the laws of your country of residence, and you may bring proceedings in your local courts where those laws allow. Otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, and the state and federal courts located in Delaware shall have exclusive jurisdiction, subject to mandatory consumer protections.

Severability. If a provision is invalid or unenforceable, the remaining provisions remain in effect.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Entire agreement. These Terms and the policies they reference constitute the entire agreement between you and Pruvelo regarding the Service and supersede prior oral or written understandings on the same subject.

13. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with a new "Last updated" date. Where required by law, we will provide additional notice or obtain consent. Continued use after the effective date may constitute acceptance where permitted by law.
